    1. Acceptance of These Terms

These Terms & Conditions (the "Terms") are a binding agreement between you and PixelCore ("PixelCore," "we," "us"), the provider of the Warehouse Manager application and website at managerwarehouse.cc (the "Service"). By creating an account, or by accessing or using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you are accepting on behalf of a company or organization (the "Organization"), you represent that you are authorized to bind that Organization, and "you" includes that Organization. If you do not agree, do not use the Service.

    2. The Service & Eligibility

The Service is a business tool for managing warehouse inventory, storage, tasks, and related records. It is intended for business use by individuals who are at least 18 years old and able to form a binding contract. We may add, change, or discontinue features at any time. We may also refuse service, close accounts, or remove content at our discretion where reasonably necessary to operate the Service or comply with law.

    3. Accounts & Security

You must provide accurate information when creating an account and keep it current. You are responsible for all activity that occurs under your account and for keeping your credentials, invitation codes, and any administrative access confidential. Notify us promptly of any unauthorized use. We are not liable for losses arising from your failure to safeguard your account.

    4. Organizations, Roles & Invitations

An account belongs to an Organization and may include multiple members with different roles (owner, manager or warehouse manager). The Organization owner is responsible for managing team members, roles, and access, and for the actions of its members within the Organization. Invitation codes must be shared only with people the Organization authorizes to access its data.

    5. Your Content

"Your Content" means all data, text, photos, and other materials you or your team submit to the Service. As between you and us, you retain all rights to Your Content. You grant PixelCore a limited, non-exclusive license to host, store, process, transmit, display, and back up Your Content solely to operate and provide the Service to you (including through the service providers and AI processing described in our Privacy Policy). You are solely responsible for Your Content and for having all rights and consents necessary to submit it.

    6. Acceptable Use

You agree not to: (a) use the Service in violation of any law or third-party right; (b) upload content you do not have the right to upload, or that is unlawful, infringing, or harmful; (c) attempt to access data belonging to another Organization, or probe, scan, or breach security or access controls; (d) interfere with or disrupt the Service, or place an unreasonable load on it; (e) reverse-engineer, resell, or use the Service to build a competing product except as permitted by law; or (f) misuse the AI features, including attempts to extract another party's data or to generate unlawful content.

    7. AI Features

The Service offers optional AI-assisted features (such as reading labels from photos, answering questions about your inventory, and generating summaries). These features process your content through our AI provider as described in the Privacy Policy. AI outputs are assistive and may be inaccurate, incomplete, or wrong. They are not professional, legal, financial, or safety advice. You are responsible for reviewing and verifying AI outputs before relying on them, and you accept sole responsibility for decisions and actions taken based on them. To the fullest extent permitted by law, PixelCore disclaims liability for AI outputs and for any loss arising from your reliance on them.

    8. Third-Party Services

The Service relies on third-party providers (for hosting, storage, authentication, email, notifications, and AI) and may link to third-party services. We are not responsible for third-party services, and your use of them may be governed by their own terms. The providers we rely on are listed in our Privacy Policy.

    9. Intellectual Property

The Service, including its software, design, branding, and the "Warehouse Manager" name and logo, is owned by PixelCore and protected by intellectual-property laws. These Terms do not grant you any right to our intellectual property except the limited right to use the Service as permitted here. This clause does not affect your ownership of Your Content.

    10. Subscriptions, Billing & Cancellation

Plans. The Service is sold as a monthly or yearly subscription per organization, not per user, and a plan does not limit how many members an Organization may have, subject to reasonable use of the Service. Current plans are Pro at $199 per month or $1,990 per year, and Business at $349 per month or $3,490 per year, in US dollars. Each plan's limits and included features are shown before you subscribe and in your Settings. Prices exclude any taxes, which are added where required by law.

Free trial. A new organization starts with a 14-day free trial, which begins when we approve its account. No payment method is required to start the trial, and nothing is charged during it. To keep using the Service after the trial ends, you choose a plan and add a payment method; the first charge is made when the trial ends, or when you subscribe if it has already ended. If you do not, access is paused as described below. Pausing is not deletion.

Automatic renewal. Subscriptions renew automatically each month, and your payment method is charged on each renewal date, until you cancel. By subscribing you authorize these recurring charges.

How to cancel. You can cancel at any time, without contacting us, from your account on our website, which opens the billing portal operated by our payment processor. Cancellation takes effect at the end of the billing period you have already paid for; you keep access until then and are not charged again.

After a subscription ends. When a subscription ends — whether you cancel or payment fails — your organization keeps working for a further 7 days. After that window, access to the Service is paused until a subscription is active again. Pausing is not deletion: your warehouses and their contents are retained and become available again as soon as you resubscribe. We do not guarantee retention of incidental data beyond the paused period. If you want your own copy, download the backup of each client from the Clients page before you cancel, or contact us and we will provide an export.

Failed payments. If a charge fails, our payment processor will retry it over several days and we may email you. Your access continues during those retries and through the 7-day window described above.

Refunds. Payments are non-refundable except where required by law. We do not provide refunds or credits for partial billing periods, unused time, or periods during which you did not use the Service. If you believe you were charged in error, contact us and we will review it in good faith.

Price changes. We may change prices. Any change applies to billing periods that begin after we notify you, and we will give you at least 30 days' notice by email or in the Service. If you do not accept a new price, cancel before it takes effect.

Payments are processed by Stripe.Card details are entered on Stripe's systems and are never received or stored by us. Your use of the payment flow is also subject to Stripe's own terms.

    11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT DEFECTS WILL BE CORRECTED, OR THAT ANY OUTPUT (INCLUDING AI OUTPUT) WILL BE ACCURATE OR RELIABLE. YOU USE THE SERVICE AT YOUR OWN RISK, AND YOU ARE RESPONSIBLE FOR MAINTAINING YOUR OWN RECORDS AND BACKUPS OF IMPORTANT DATA.

    12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, PIXELCORE AND ITS PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY. IN NO EVENT WILL OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

    13. Indemnification

You agree to indemnify and hold harmless PixelCore and its providers from any claim, demand, loss, or expense (including reasonable legal fees) arising out of Your Content, your use of the Service, your violation of these Terms or of any law, or your infringement of any third-party right — including any claim brought by your Organization's own clients or employees relating to data you entered into the Service.

    14. Suspension & Termination

You may stop using the Service and delete your account at any time from your Profile page. We may suspend or terminate your access if you breach these Terms, if required by law, or if reasonably necessary to protect the Service or other users. Access is also paused when a subscription lapses, as described in Section 10 — that pause is a billing state, not a termination, and is lifted by resubscribing. On termination, your right to use the Service ends; provisions that by their nature should survive (including Sections 5, 9, 11, 12, 13, and 15) will survive. We will handle any remaining data as described in the Privacy Policy.

    15. Governing Law & Disputes

These Terms are governed by the laws of the United States and the State in which PixelCore is established, without regard to conflict-of-law principles. You agree that any dispute will be resolved in the state or federal courts located there, and you consent to their personal jurisdiction, except where applicable law gives you the right to bring a claim elsewhere. Any claim must be brought within one (1) year after it arises, to the extent permitted by law.

    16. Changes to These Terms

We may update these Terms from time to time. We will revise the "Last updated" date above and, for material changes, provide a more prominent notice. Your continued use of the Service after a change takes effect constitutes acceptance of the revised Terms. If you do not agree to a change, stop using the Service and delete your account.

    17. General

These Terms and the Privacy Policy are the entire agreement between you and PixelCore regarding the Service. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
